*Augmentara's "Functional Prototype in 14 Days or Less" Guarantee consists solely of a refund of the initial fee actually paid by the Client, and constitutes the Client's sole and exclusive remedy for any failure to meet such timeframe. This Guarantee is subject to the following conditions: (1) The functional scope of the prototype must be defined and approved in writing by both parties before the project begins. Only the features expressly described in that scope document will be deemed "functional." (2) The 14 calendar-day period begins on the later of: (a) Augmentara's receipt of the initial payment, and (b) the Client's complete delivery of all access, credentials, data, and materials reasonably necessary to perform the work. (3) The period will automatically pause during any time Augmentara is awaiting information, feedback, or approvals from the Client, as well as during any event of force majeure or failure attributable to third-party services, and will resume once the cause is resolved. (4) Any change to the original scope requested by the Client will restart or extend the period as agreed in writing by the parties. (5) A refund request must be submitted in writing within 7 calendar days after the period expires. If no request is submitted within that period, the Guarantee is deemed waived. The refund amount equals the initial fee paid, less non-recoverable costs incurred by Augmentara, including third-party software licenses, consumed API credits, and payment-processing fees. Refunds will be issued within [15] calendar days after the request is approved, using the Client's original payment method. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE REFUND DESCRIBED ABOVE IS THE CLIENT'S SOLE AND EXCLUSIVE REMEDY UNDER THIS GUARANTEE. AUGMENTARA WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS OR LOST BUSINESS, ARISING OUT OF OR RELATED TO THIS GUARANTEE. AUGMENTARA'S TOTAL LIABILITY UNDER THIS GUARANTEE WILL NOT EXCEED THE INITIAL FEE PAID BY THE CLIENT. This Guarantee is governed by the service agreement signed by the parties, which controls in the event of any conflict, and by the laws of the State of California, without regard to its conflict-of-laws rules. No oral statement or promotional material modifies these terms.
